will there be any problems fitting my toolbox over the rack

According to my TracRac representative, the clamps that hold the front crossbar of the rack to the top of the bed side rail will extend into the interior of the bed by 1-1/4 inches per side, for a total of about 2-1/2 inches. If the width of the portion of your truck box that fits in between (not on top of) your bed rails is no wider than 2-1/2 inches less than the width between the tops of your bed rails, your toolbox should fit just fine. If the fit is tighter, there might be a problem.

TracRac offers a toolbox mount kit, part # TH41000 that you might be interested in. The mounts provide threaded holes for your toolbox to mount to, rather than using J-hooks.
