how do I proceed should I drill out the lock or replace the whole latch assembly buy drilling out the rivets

In regards to a UWS Truck Bed Toolbox, if the box is locked and there is no key then you have two options. If you know the key number (it may be stamped onto the lock/latch) then you can order a replacement key like the Replacement Key for UWS Toolboxes part # KEYCH506 (see list below). If you don't know the key number then you will need to replace the entire latch with something like the Replacement Locking Paddle Handle for UWS Toolboxes part # UWSLOCKING (see list below) which may require drilling out the old fasteners.
