I assume this is designed to work with the 3rd row seats stowed, but is it designed to work with the 2nd row of seats in the up or down position?

For your 2007 Mercedes-Benz M-Class, the floor liner designed to fit is the WeatherTech Cargo Liner, part # WT41285. I spoke with my contact at WeatherTech and they told me that this liner is designed to fit all ML class unless they are equipped with the 317 comfort Package.
This liner is designed to be a custom fit behind the 2nd row of seats when they are in the up position and the 3rd row is stowed.
The liner you referenced, part # 41256, is not a fit for a 2007 M-Class Mercedes-Benz.
