I want to know why this product is listed as class II only. Is this only because the load rating exceed the tongue weight of a class I hitch, or is there some reason that it physically wont fit into a class I hitch?

The 63115 20x48 cargo carrier is rated for class two only because of the load rating and because class two accessories will not physically fit into the class one hitch far enough for the hitch pin to line up and secure the shank. Class one hitches are only rated for up to 200 pounds tongue weight and class two hitches are rated up to 350 pounds tongue weight so the manufacturer makes the shank for the accessories according to how much weight the accessory is rated for.
